Subscriber agreement

Latest amendment on 4/18/2025: "Mobile phone information will NOT be shared with third parties/affiliates for marketing/promotional purposes. By registering you are agreeing to receive SMS/Text messages for internal use only such as member meeting reminders and renewal notices."

These terms come from the Silicon Valley Women Leaders Association and apply to every subscription purchased on SVWomenLeaders.org.

Article 1 - Who We Are and What This Covers

The Silicon Valley Women Leaders Association ("the Association") is the party you are contracting with, and it is who we mean whenever we write "we", "us" or "our". Our seminars, conferences, webinars, eBooks and eDocuments, and all other content items we release, are referred to here as the "Content", and the Association is the publisher of every one of them. The intellectual property in the Content and in the website is owned by us or our licensors.

This subscriber agreement (the "Agreement") binds you legally. It defines the conditions for using any material you stream from, or download from, this website. We suggest filing a copy away for reference.

How you signed up to it

Before your first use of the Content as a subscriber, or through a follow-up confirmation e-mail, you were asked to confirm that you accept the Agreement. The same confirmation is requested whenever you renew. On top of that, any time you open the Content you reaffirm your acceptance, so we encourage you to look at Article 12 ahead of each visit to see whether the Agreement has been revised in the meantime.

If you cannot accept it

Do not access or use the Content if you object to the Agreement, or if you are not authorised to accept it on behalf of the business or work you represent.

Article 2 - Setting Up and Running Your Subscription

Plans

At any time, we may offer more than one level or type of subscription. Depending on the level you choose, different Content and services may be available to you, and we will make this clear when you acquire your subscription. The Association reserves the right to change the Content, the services, or any level of subscription at any time.

Processing

We aim to process subscription applications promptly. We cannot guarantee, though, that the Content will be available to you within any specified time after purchase.

Registration

Subscribing requires you to give us accurate and complete registration information about yourself. Keeping it up to date is your responsibility; send any changes to Service@WomanLeaders.org.

Users and organizations

A subscription covers a single user, never more. If your subscription was acquired for you to use at a company or other organization you work for or are otherwise engaged by, then in accepting the Agreement you also accept it on that organization's behalf, and both of you are responsible for ensuring the Content is used in accordance with it. Each user within an organization needs a separate subscription.

Your ID

Your username, password and any other website access details together make up your "ID". You are responsible for all use of the Content made with your ID, whether by you or by another person, and for preventing anyone from using it without authorization. Should you want to change your ID, or should you believe security has been breached, for instance through disclosure, theft or unauthorized use of your ID or any payment information, e-mail the Association immediately at Service@WomanLeaders.org.

Article 3 - Payments

When you subscribe you must give the Association complete and accurate payment information, and you agree to pay the rates that apply on the day you subscribe. Submitting card details to us constitutes your warranty that you are entitled to buy a subscription with them.

If payment or payment authorization does not reach us on time, or if an authorization is later cancelled or refused, we may terminate your subscription or suspend your access to the Content immediately.

Our charges are in US dollars, and you may also need to pay applicable taxes.

Article 4 - Renewal and Cancellation

We may offer differing payment terms and subscription lengths, and the ones that apply to you will be made clear at the point of subscribing.

Annual subscriptions renew automatically for another year. If you do not want yours to renew, notify us before the end of the current annual period that you no longer wish to receive it. Renewals are charged to the same card or other payment method you used previously.

Except as described in Article 5 regarding the immediate start of your subscription, you have no right to cancel your subscription, or any part of it, before the end of the subscription period you are currently in. You can notify us of your intention to cancel at any time, and that notice will take effect at the end of the current period. Cancellation requests go to our Customer Services team at Service@WomanLeaders.org.

If you breach these terms and conditions, the Association reserves the right to suspend or terminate your subscription, with or without notice, and without any further obligation to you. Suspension or termination is also possible if circumstances beyond our control prevent us from providing services to you.

Article 5 - Refunds

Your subscription can begin the moment we accept your order, and by ordering you agree to that. For this reason you are not entitled to a refund if you change your mind once we have given you access to your subscription.

When you cancel, no refund is given, except in the limited circumstances that these terms set out.

Those circumstances are as follows: if we terminate your subscription for any reason, and/or permanently stop publishing the Content or providing subscription services, then unless exceptional circumstances apply we will credit a pro rata refund to your credit card. It will cover the amounts you paid us in advance that relate to the remaining, unexpired period of your subscription.

Article 6 - Your Licence to the Content

The Association or its licensors own all intellectual property rights in the Content, including copyright and database rights. You acknowledge that "Silicon Valley Women Leaders Association" is our trade mark and that you need our written permission before using it.

We grant you a non-exclusive right, which you may use only for your own legitimate business or personal purposes, to retrieve and view Content on any compatible device. Where Content is offered as a download, you may also download it and keep one copy on a storage device personal to you, a USB drive for example, though not on a shared drive, a shared server or any other network-connected storage device.

Article 7 - Restrictions and Enforcement

You may not do the following, and you may not let any third party do them:

  • go beyond the rights Article 6 expressly grants by copying, reproducing, broadcasting, transmitting, modifying, abstracting, creating derivative works of, storing, archiving, aggregating, publicly displaying, redistributing, sharing, forwarding, licensing, sub-licensing, publishing, selling or in any way commercially exploiting any Content;
  • share your ID with any individual or other third party;
  • make your ID available to multiple users, including on a network or within an organization;
  • remove any copyright or trade mark notice from the Content;
  • frame, harvest or scrape the Content, or do anything comparable; or
  • use the Content for any unlawful purpose.

We reserve the right to monitor your use of any Service. If you use the Content in breach of Article 6 or this Article, the Association may suspend your access to the Content or cancel your subscription.

THE RIGHTS THAT THE SILICON VALLEY WOMEN LEADERS ASSOCIATION RESERVES UNDER THIS AGREEMENT ARE ALL WITHOUT PREJUDICE TO ITS FURTHER RIGHTS AT LAW, INCLUDING RIGHTS UNDER APPLICABLE COPYRIGHT LEGISLATION.

Article 8 - Disclaimers and Limits on Liability

Please give this Article your close attention, because it is important. It describes how much responsibility (liability), if any, the Association accepts toward you for your use of the Content.

We offer the Content and the website "as is" and "as available". Matters beyond our reasonable control, the internet, acts of God and acts of third parties are all outside our liability to you. Equally, we have no responsibility for any use you make of Content outside the scope of the Agreement, and if you have paid no subscription fee we accept no liability to you for the Content or the website.

We do not give any promise about the availability, quality, security, completeness or accuracy of the Content or the website, or that either of them is virus-free or free of anything similar. We will try to develop the Content and operate the website with reasonable skill and care, and will use reasonable efforts to remedy faults that come to our attention; this is the only promise we give about the Content and the website.

Content is offered for your general information and use and is not intended to meet your particular requirements. None of it constitutes advice, a recommendation, a representation or an endorsement of any type, and users should not rely on it in making or refraining from making any specific business, investment or other decision.

WE DISCLAIM, AS FULLY AS APPLICABLE LAW PERMITS, ALL WARRANTIES, REPRESENTATIONS, CONDITIONS AND DUTIES OF ANY NATURE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF SATISFACTORY QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

FOR ANY CLAIM ARISING FROM YOUR USE OF THE CONTENT OR OTHERWISE IN CONNECTION WITH THIS AGREEMENT, OUR FINANCIAL RESPONSIBILITY TO YOU EXTENDS ONLY TO DIRECT DAMAGES AND IS LIMITED TO A SUM NO GREATER THAN THE PRICE YOU PAID FOR YOUR SUBSCRIPTION.

EACH LIMITATION OF LIABILITY IN THIS ARTICLE 8 PROTECTS THE SILICON VALLEY WOMEN LEADERS ASSOCIATION AND ITS AFFILIATES, AS WELL AS ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS.

This Agreement does not exclude or restrict our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that the law does not permit to be limited or excluded.

Article 9 - Resolving Disputes

Georgia law governs. The Agreement is subject to, and is interpreted in accordance with, the laws of the State of Georgia, United States of America, without regard to conflict or choice of law principles. You and we irrevocably agree that jurisdiction to enforce an arbitration award and to grant urgent interim relief in connection with the Agreement lies with the state and federal courts located in Atlanta, Georgia.

Any legal action arising from or related to your subscription to, use of or purchase of Association products or services shall be brought by arbitration in Atlanta, Georgia, administered by the American Arbitration Association under its Commercial Arbitration Rules or, where they apply, its Consumer Arbitration Rules. The filer (plaintiff) will bear all arbitration filing and hearing costs, and each party will pay its own legal fees. Where applicable law or the applicable American Arbitration Association rules do not permit this, arbitration fees and costs are allocated as set by those rules.

Article 10 - General Terms

Assignment. Your rights under these terms and conditions cannot be assigned, sub-licensed or otherwise transferred by you. You agree that we may, without your consent, assign any of our rights or delegate any of our duties or obligations under the Agreement to a third party in connection with a reorganization, merger, consolidation, sale of assets or other similar transaction.

Severability. A finding by any court of competent jurisdiction that some provision of these terms and conditions is invalid will not affect the validity of the others, which stay in full force and effect.

Waiver. Neither party waives a right or remedy under these terms and conditions by failing to exercise it.

Headings. Headings are there for convenience alone and have no legal meaning or effect.

Entire agreement. As to the Content, the Agreement is the entire agreement between the Silicon Valley Women Leaders Association and you, superseding all previous agreements, communications, representations and arrangements, written or oral.

Article 11 - Questions and Complaints

Please e-mail any query about the Service, including any complaint, to Service@WomanLeaders.org.

Article 12 - Updates to the Agreement

The current version of the Agreement was published on October 18, 2026, and it replaces the previously published subscriber agreement with immediate effect. From time to time we may change the Agreement, and we will publish the date of each change in this Article 12. Please check this Article regularly to see whether it has been updated.
